INTRODUCTION
This document forms an integral part of the Terms and Conditions. It constitutes an additional agreement between the User and the Ticket Operator governing matters related to the resale of Tickets through the Platform, the receipt of services from the Ticket Operator, and other related matters.
These Resale Terms are binding on every User who uses Resale Functionality.
DEFINITIONS
The terms used in this document have the same meaning as defined in the Terms and Conditions, except for the terms listed below, which are specific to the resale service or give an additional meaning:
Ticket Resale – a process in which the Platform connects Users who wish to resell Tickets with Users who wish to purchase those Tickets. The Platform acts solely as a technical intermediary, enabling Users to list and to purchase or resell Tickets. In no case does the Platform act as a ticket reseller, seller or merchant, or as an Event Organizer.
Reseller – an Authorized User who purchased a Ticket through the Platform for personal use and who can no longer attend the Event, or has another objective reason, and therefore wishes to list the Ticket on the Platform for resale. Such a resale is a transaction between Users (fan-to-fan).
Final Buyer – a person who has purchased a Ticket through the Platform from the Organizer or from a Reseller, and who has access to the Ticket’s QR code.
Resale Ticket(s) – Ticket(s) listed on the Platform by a Reseller that have not yet been sold.
KEY TERMS OF TICKET RESALE
In relation to certain Events, a Registered User is entitled to use the Resale Functionality and to list a Resale Ticket for sale to another User of the Platform.
The Resale Functionality is not available for all Events listed on the Platform. Whether resale is possible is determined by the Organizer of the relevant Event. A User may list Tickets for resale only for those Events for which the Resale Functionality is active on the Platform. Whether a specific Ticket can be resold is shown to the Registered User in their authorized profile.
The Organizer and/or the Platform is entitled to determine the period of operation, the conditions and the restrictions of the Resale Functionality. The Resale Functionality may be active either throughout the entire Ticket sales period or for a limited period only.
The Organizer and/or the Platform is entitled, at any time, to restrict, suspend or terminate the possibility of resale for a specific Event or a specific category of Tickets. Such a decision shall not apply to Resale Tickets that were already listed for resale before the restriction, suspension or termination took effect.
Only Authorized Users may use the Resale Functionality.
If a Ticket was purchased by an unauthorized User, that User may not use the Resale Functionality, regardless of whether resale is permitted for the relevant Event.
The Organizer and/or the Platform is entitled to establish additional conditions and restrictions on resale, including, but not limited to:
Unless otherwise determined by the Organizer, the Platform’s rules or applicable law, the Reseller is entitled to independently determine the price of the Resale Ticket, to list for resale any number of Tickets in their possession, and to exercise other rights permitted by the Platform and these Resale Terms.
LIMITATION OF PLATFORM LIABILITY (AS IS)
The resale service is provided to the User on an “as is” basis. The Platform gives no guarantee of any kind that:
The Platform shall not be liable where the use of the Resale Functionality, or the listing, publication, availability, display or sale of a Ticket, cannot be carried out due to a technical fault, system disruption, software malfunction, the actions of third parties, force majeure, or any other circumstance beyond the Platform’s reasonable control.
The User acknowledges and agrees that the Platform is solely a technological intermediary that provides the technical availability of the Resale Functionality. The Platform is not a seller or buyer of Tickets, or a representative of either, and, unless expressly provided otherwise in these Terms, it assumes no liability in connection with the fact of a Ticket’s resale, its price, or the outcome of its sale.
TICKET SALE PROCESS
To use the Ticket Resale Functionality, an Authorized User must log in to their profile and follow the instructions provided on the Platform. The Reseller is obliged to fill in all required fields and, before listing a Ticket for resale, to make sure that the information is correct. Once the listing process is complete, the Resale Ticket becomes available to other Users on the Platform. The Platform assumes no obligation as to the order in which, or the form in which, a Resale Ticket will appear on the Platform.
A User may purchase a Ticket listed for resale on the Platform, and this is deemed use of the Resale Functionality. If the Ticket is purchased by an Authorized User, that User will in turn be able to list again for resale, on the Platform, a Ticket that has already been resold once.
If a Resale Ticket is sold, the Platform will process the relevant order and send the Reseller information about it.
Upon completion of the resale process, the Reseller loses the right to dispose of the resold Ticket in any manner, or to use, cancel, modify or transfer it to a third party. The Reseller likewise no longer has the right to cancel the resale or change the price of the Ticket.
For security reasons, while a Ticket is being offered through the Resale Functionality, its QR code is not active and is not accessible to Platform Users. The QR code becomes active and accessible only at a set time before the start of the Event. Once the QR code is activated, the Resale Functionality can no longer be used.
If a Reseller listed a Ticket for resale and it was not sold, the Reseller remains the final holder of the Ticket.
The Platform is not a party to the transaction between the Reseller and the Final Buyer and acts solely as a technical intermediary. The relationship between the Reseller and the Final Buyer is governed by these Resale Terms.
FEES AND PAYMENT TERMS
When listing a Ticket for resale, the Reseller pays the Platform’s service fee. The amount of this fee is known to the Reseller and clearly displayed at the listing stage.
When purchasing a Ticket, the Final Buyer also pays the Platform’s service fee. The amount of this fee is known to the Final Buyer and clearly displayed before the purchase.
In both cases, the fee includes all related taxes, and the User will not have to pay more than the amount shown on the relevant page before completing the listing or the purchase.
The Reseller will receive the proceeds from the resale of the Ticket (less the Platform’s service fee) within 5 (five) business days after the end of the Event. To receive the funds, the Reseller must provide valid bank card details. The Platform is entitled to suspend the payment until the Reseller has provided all the requested information in full.
PROHIBITION OF COMMERCIAL USE
A User of the Platform is entitled to use the Ticket Resale Functionality solely for personal, non-commercial purposes. The User does not act in the course of a commercial activity and/or on behalf of an Organizer. Accordingly, the Reseller is not considered a merchant for the purposes of Georgian law.
The Platform is entitled, at its own discretion or at the Organizer’s request, to suspend the resale process if there is reasonable suspicion that the resale is being carried out for a commercial purpose and/or that the Platform’s Terms and Conditions are otherwise being violated.
TICKET RETURNS
A Ticket resold or purchased through use of the Resale Functionality is not subject to return in any circumstances.
From the moment the purchase or resale is confirmed, the relevant transaction becomes final and irreversible. The User no longer has the right to demand cancellation of the Ticket, its return or a refund, except in cases expressly provided for by applicable law, by the Platform’s general Terms and Conditions, or by the Event Organizer.
EVENT POSTPONEMENT OR CANCELLATION
If the Event does not take place and the Ticket is subject to return in accordance with the Terms and Conditions or applicable law (including due to the postponement or cancellation of the Event), all resale transactions relating to the Ticket are automatically cancelled, and each User is refunded the amount paid for the Ticket within the period provided by law.
CLAIMS AFTER THE EVENT
The Reseller is not liable for any claim arising after the Event (including claims relating to the quality, conditions or course of the Event). The final holder must submit such a claim to the Event Organizer and/or the Ticket Operator in accordance with the procedure established by the Terms and Conditions.
If, after the Event, the final holder has a lawful claim for the return of the Ticket, the amount paid for the Ticket will be refunded to them in full.
LIMITATION OF LIABILITY IN CONNECTION WITH THE RESALE SERVICE
The Platform, as a technological intermediary, is not a party to the transaction between the Reseller and the Final Buyer and is not liable for the failure of the parties to perform their obligations. In any case, if the Ticket Operator is found to be at fault in connection with the resale service, its liability shall not exceed the amount of the service fee received by the Platform in connection with the relevant transaction.
GOVERNING LAW AND DISPUTE RESOLUTION
These Resale Terms form an integral part of the Terms and Conditions, and the relevant provisions of the Terms and Conditions apply to them, including those on governing law and dispute resolution (see the section “Disputes/Governing Law” of the Terms and Conditions).
AMENDMENTS
The Platform is entitled, unilaterally and on the Ticket Operator’s initiative, to update these Resale Terms and other related policies at any time and from time to time. Authorized Users must be notified of changes a reasonable time in advance, by a notice on the Platform, by email or by short text message.
If any provision of these Resale Terms is held invalid, this shall not affect the legal force and operation of the remaining provisions.
